Terms of Service
These Terms of Service apply to cleaning and related services provided by TX Commercial Cleaning, LLC. (“TX Commercial Cleaning,” “Company,” “we,” “us,” or “our”). By scheduling, authorizing, or accepting services from TX Commercial Cleaning, the client agrees to the following terms.
1. Additional Services, Scope Changes & Billing Adjustments
Pricing is based on the scope of work, property conditions, service frequency, square footage, specifications, and other information provided at the time services are quoted or scheduled.
Any services requested by the client that are outside the agreed scope of work may result in additional charges.
Additional charges may also apply when actual site conditions differ materially from those represented or reasonably anticipated, including but not limited to excessive buildup, construction dust or debris, unusually heavy soil conditions, additional areas requiring service, restricted access, or other circumstances requiring additional labor, equipment, supplies, or time.
Whenever reasonably possible, the client will be informed of material additional charges before the additional work is performed.
Changes to recurring service agreements, cleaning frequencies, staffing requirements, or service specifications may require revised pricing.
2. Cancellation & Rescheduling Policy
TX Commercial Cleaning reserves scheduled labor, equipment, and operational resources for each service appointment.
Unless otherwise provided in a written service agreement, we require a minimum of 48 hours' notice to cancel or reschedule a scheduled service without penalty.
Cancellations or scheduling changes made less than 48 hours before service may be subject to a cancellation fee. Cancellations made within 24 hours of the scheduled service may be charged up to 50% of the scheduled service amount.
If our team is unable to access the property at the scheduled service time because of locked doors, unavailable access credentials, security restrictions, or other conditions within the client's control, the visit may be treated as a late cancellation or lockout and may be subject to applicable charges.
Recurring commercial accounts governed by a separate service agreement will be subject to the cancellation and termination provisions contained in that agreement.
3. Property Access, Security & Client Responsibilities
The client is responsible for providing TX Commercial Cleaning with safe and timely access to all areas included within the agreed scope of service.
The client is responsible for providing any required keys, access cards, alarm codes, gate codes, parking instructions, security procedures, building access permissions, or authorized contacts necessary for service.
TX Commercial Cleaning will make reasonable efforts to safeguard access information provided by the client.
Clients are responsible for identifying restricted areas, confidential workspaces, hazardous materials, specialized equipment, security-sensitive locations, or surfaces requiring special cleaning procedures before service begins.
TX Commercial Cleaning is not responsible for delays, incomplete service, or additional costs resulting from inaccessible areas or undisclosed site restrictions.
4. Workplace Safety & Hazardous Conditions
Clients are responsible for maintaining a reasonably safe working environment for our technicians.
TX Commercial Cleaning must be informed in advance of known hazardous materials, biohazards, bodily fluids, active construction hazards, pest infestations, unsecured weapons, exposed electrical hazards, hazardous chemicals, or other potentially dangerous conditions.
Standard commercial cleaning services do not include hazardous-material remediation, regulated medical waste removal, biohazard remediation, mold remediation, asbestos removal, or other specialized hazardous services unless expressly agreed to in writing.
TX Commercial Cleaning reserves the right to stop or decline work if conditions are reasonably believed to pose a health or safety risk to our personnel.
5. Satisfaction Guarantee & Service Concerns
TX Commercial Cleaning stands behind the quality of our work.
If the client believes an area included within the agreed scope of work was not properly completed, the client must notify us within 24 hours of service completion.
After reviewing the concern, TX Commercial Cleaning will make reasonable arrangements to return and address qualifying service deficiencies at no additional charge.
The satisfaction guarantee applies to work included within the agreed scope of service and does not cover pre-existing damage, permanent staining, normal wear, deterioration, surfaces that cannot reasonably be restored through standard cleaning, or services that were not included in the original scope of work.
Because commercial facilities vary significantly, certain specialty services may be subject to separate performance expectations stated in the applicable proposal or service agreement.
6. Payment Terms & Methods
TX Commercial Cleaning accepts major credit and debit cards, business checks, ACH or electronic payments when available, and other payment methods approved by the Company.
Payment terms may vary depending on the type of service, client relationship, and applicable written agreement.
Deposits
A deposit may be required for one-time services, specialty cleaning projects, large projects, move-in/move-out services, post-construction cleaning, floor-care projects, or other services requiring dedicated staffing, equipment, or materials.
Any required deposit will be disclosed before scheduling and will be applied toward the final invoice unless otherwise stated.
An appointment requiring a deposit is not considered fully confirmed until the deposit has been received.
Payment Method on File
TX Commercial Cleaning may require a valid credit or debit card or other approved payment method to be maintained on file as a condition of scheduling certain services.
Payment information is maintained through our secure third-party payment processor. TX Commercial Cleaning does not have access to the complete credit or debit card number stored by the processor.
Final Payment
Unless different payment terms have been approved in writing, payment is due according to the terms stated on the applicable proposal, invoice, service agreement, or booking confirmation.
For one-time services without separate approved payment terms, the remaining balance is generally due within twenty-four (24) hours of service completion.
For approved commercial accounts, alternative invoicing terms such as Net 7, Net 15, Net 30, or other arrangements may be established in writing.
If a valid payment method is maintained on file and payment has not been received by the applicable due date, TX Commercial Cleaning may charge the payment method on file for the outstanding authorized balance where permitted by the applicable agreement and law.
Returned Checks & Rejected Payments
A $35.00 returned-payment fee may be assessed for checks or electronic payments returned because of insufficient funds, closed accounts, stop-payment instructions, or other payment failures.
The client may also be responsible for reasonable costs associated with recovering unpaid amounts where permitted by law.
Past-Due Balances
Past-due accounts may be subject to suspension or termination of services.
TX Commercial Cleaning reserves the right to pursue lawful collection remedies for unpaid balances, including referral to a collection agency, civil litigation, recovery of allowable collection expenses, court costs, and attorney's fees where authorized by contract or applicable law.
Any finance charges, late fees, or interest will be imposed only where disclosed in the applicable agreement and permitted by law.
7. Liability, Damage & Pre-Existing Conditions
Our team is trained to perform cleaning services carefully and professionally.
If the client believes TX Commercial Cleaning caused damage to the property or an item during service, the client must notify us as soon as reasonably possible so that the circumstances can be reviewed.
If TX Commercial Cleaning determines that damage resulted from our actions, we will work with the client toward an appropriate resolution based on the circumstances.
TX Commercial Cleaning is not responsible for:

Pre-existing damage

Normal wear and tear
-
Loose, improperly installed, deteriorated, or defective fixtures

Fragile or unstable items

Damage caused by age, corrosion, deterioration, or prior improper maintenance

Damage resulting from undisclosed special-care requirements

Permanent stains or discoloration that cannot reasonably be removed through professional cleaning

Damage caused by third parties before, during, or after our service
Clients are encouraged to identify delicate, high-value, specialty, or sensitive property before service begins.
8. Specialty Floor, Carpet, Window & Exterior Cleaning
Results from specialty cleaning services may vary depending on the age, condition, composition, prior maintenance, staining, damage, coatings, and history of the surface being serviced.
TX Commercial Cleaning does not guarantee complete removal of permanent stains, etching, discoloration, scratches, wear patterns, mineral deposits, oxidation, damaged coatings, or other permanent conditions.
Floor stripping, refinishing, buffing, burnishing, carpet cleaning, pressure washing, and window cleaning may require separate estimates or scope specifications.
Clients are responsible for informing TX Commercial Cleaning of manufacturer requirements, specialty coatings, warranties, or known surface sensitivities before service.
9. Privacy & Confidentiality
TX Commercial Cleaning respects the privacy and confidentiality of our clients.
Information provided by the client will be used for legitimate business purposes associated with providing, scheduling, administering, billing, and improving our services.
TX Commercial Cleaning will not intentionally disclose confidential client information to unrelated third parties except as reasonably necessary to provide services, process payments, administer business operations, comply with legal requirements, or as otherwise described in our Privacy Policy.
Clients operating facilities involving particularly sensitive information, regulated data, or enhanced confidentiality requirements should notify TX Commercial Cleaning before service so that appropriate procedures can be discussed.

10. Employees & Independent Contractors
TX Commercial Cleaning may perform services using employees, independent contractors, subcontractors, or a combination thereof, depending on operational requirements.
All personnel performing services on behalf of TX Commercial Cleaning remain subject to Company-established service expectations, procedures, and oversight applicable to their assigned work.
11. Employee & Contractor Non-Solicitation / Non-Circumvention
TX Commercial Cleaning invests substantial time and resources into recruiting, screening, onboarding, training, coordinating, insuring, and managing employees and independent contractors.
Personnel introduced to or assigned to a client's property through TX Commercial Cleaning are provided solely for services performed through or authorized by the Company.
To the extent permitted by applicable law, clients agree not to knowingly circumvent TX Commercial Cleaning by directly soliciting, hiring, contracting with, or privately engaging Company personnel to perform substantially similar cleaning or facility-services work outside of TX Commercial Cleaning during the business relationship and for twelve (12) months following that individual's last service at the client's property, unless written authorization has been obtained from TX Commercial Cleaning.
Unauthorized direct payments or arrangements intended to bypass TX Commercial Cleaning may constitute a material breach of these Terms or the applicable service agreement.
Gratuities
Voluntary gratuities provided directly to cleaning personnel are permitted.
Gratuities must be voluntary and may not be conditioned upon the technician performing unauthorized services or work outside the client's approved scope of service.
Direct payments made in exchange for unauthorized cleaning services or additional labor performed outside TX Commercial Cleaning may be considered an attempt to circumvent the Company.
Remedies
If a client violates this section, TX Commercial Cleaning reserves the right to pursue remedies available under the applicable agreement and law, which may include termination of services, recovery of provable damages, injunctive relief where appropriate, court costs, attorney's fees where recoverable, and other lawful remedies.
Any predetermined liquidated-damages provision applicable to employee or contractor solicitation should be contained in a separately executed commercial service agreement and will apply only to the extent enforceable under applicable law.
12. Service Personnel & Staffing Changes
TX Commercial Cleaning does not guarantee that the same technician or cleaning team will perform every scheduled service.
Staffing assignments may change because of scheduling, availability, illness, training, operational requirements, or other business needs.
TX Commercial Cleaning will make reasonable efforts to maintain continuity and service quality regardless of the personnel assigned.
13. Service Interruptions & Events Beyond Our Control
TX Commercial Cleaning will not be responsible for delays or inability to perform services caused by circumstances reasonably beyond our control, including severe weather, natural disasters, government restrictions, building closures, utility outages, unsafe conditions, labor disruptions, transportation interruptions, emergencies, or other force-majeure events.
When practical, we will work with the client to reschedule affected services.
14. Recurring Service Agreements
Recurring janitorial and commercial cleaning accounts may be governed by a separate proposal, statement of work, service agreement, or cleaning specification.
If a signed commercial agreement conflicts with these general Terms of Service, the terms of the signed agreement will control with respect to that conflict.
Pricing for recurring services may be adjusted if the scope, facility use, occupancy, cleaning frequency, labor requirements, supply costs, or other material service conditions change.
15. Keys, Access Cards & Alarm Systems
If the client provides TX Commercial Cleaning with keys, access cards, alarm codes, or other credentials, the client authorizes their reasonable use for performing scheduled services.
Clients should notify TX Commercial Cleaning immediately if access instructions or security credentials change.
TX Commercial Cleaning is not responsible for alarm charges or security responses resulting from inaccurate, outdated, incomplete, or undisclosed instructions provided by the client.
16. Client Property & Personal Belongings
Clients should secure cash, negotiable instruments, confidential documents, prescription medications, jewelry, valuable electronics, sensitive equipment, and other high-value or easily misplaced items before service.
Cleaning personnel should not be asked to move unusually heavy, hazardous, exceptionally valuable, or sensitive equipment unless such work has been specifically authorized.
17. Photography & Documentation
TX Commercial Cleaning may photograph service conditions, completed work, unusual conditions, damage, safety concerns, or other relevant property conditions for internal documentation, quality assurance, insurance, training, or dispute-resolution purposes.
Photos containing identifiable client information will not be used publicly for advertising or marketing without appropriate authorization.
18. Changes to These Terms
TX Commercial Cleaning reserves the right to modify these Terms of Service from time to time.
Updated Terms will become effective when posted unless otherwise stated. Material changes affecting an existing contractual relationship will be handled in accordance with the applicable service agreement and law.
19. Governing Agreements & Applicable Law
These Terms are intended to supplement any proposal, estimate, statement of work, work order, or service agreement between the client and TX Commercial Cleaning.
Nothing in these Terms is intended to waive any right or remedy that cannot lawfully be waived.
Where applicable, services and agreements will be governed by the laws of the State of Texas, subject to any specific provisions contained in a separately executed agreement.
20. Acceptance of Terms
By scheduling, authorizing, or accepting services from TX Commercial Cleaning, the client acknowledges and agrees to these Terms of Service and any applicable proposal, estimate, work order, statement of work, or service agreement.
